1. Acceptance of These Terms
These Terms & Conditions (“Terms”) govern your access to and use of the Nexplan Institute website, courses, digital products, programs, events and related services.
By accessing our website, creating an account, purchasing a product or service, or otherwise using Nexplan Institute offerings, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree with these Terms, you should not use our website, products or services.
2. About Nexplan Institute
Nexplan Institute (“Nexplan,” “we,” “us,” or “our”) provides educational content, courses, digital resources, programs and related services focused on transition, development and reinvention.
Our offerings are intended to provide educational information, frameworks, tools and learning experiences.
3. Eligibility and Account Registration
You are responsible for providing accurate and current information when creating an account, registering for a program or making a purchase.
Where an account is required, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.
You agree to notify Nexplan Institute promptly if you become aware of unauthorized access to or use of your account.
You may not share account credentials or provide unauthorized access to paid Nexplan Institute content.
4. Purchases and Payment
Prices for Nexplan Institute products and services are displayed at the time of purchase and may be shown in Canadian dollars or another identified currency.
Applicable taxes may be added at checkout.
By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable charges.
Payments may be processed by third-party payment providers. Nexplan Institute does not necessarily receive or store your complete payment-card information.
We reserve the right to modify pricing for future purchases. Price changes will not retroactively alter a completed purchase unless required by law.
5. Digital Products and Course Access
When you purchase a course or digital product, you receive a limited, personal, non-exclusive and non-transferable right to access and use that material for your own lawful purposes.
Unless otherwise stated at the time of purchase, access periods and availability are determined by the specific Offer you purchase.
“Unlimited access,” where offered, means access for as long as Nexplan Institute continues to make the applicable product available through its current or successor platform, subject to these Terms and reasonable operational changes.
We may update, improve or reorganize course content over time provided that doing so does not materially remove the core value of the product purchased.
6. Intellectual Property
All Nexplan Institute materials, including courses, frameworks, assessments, worksheets, guides, videos, graphics, written materials, branding and other content, are owned by or licensed to Nexplan Institute and are protected by applicable intellectual property laws.
Unless we provide written permission, you may not:
- reproduce or redistribute Nexplan Institute materials
- copy or republish course content
- sell, sublicense or commercially exploit our materials
- share paid content or account access with others
- modify our materials and represent them as your own
- record or distribute protected course, event or program content
- remove copyright, trademark or proprietary notices
Your purchase does not transfer ownership of any Nexplan Institute intellectual property.
7. Permitted Use
You may use Nexplan Institute materials for your own personal learning and development and, where expressly permitted, within the scope of an organizational or professional licence.
Any use outside the scope of the licence or access provided requires written authorization from Nexplan Institute.
8. Prohibited Conduct
You agree not to use our website, products or services in a way that:
- violates applicable law
- infringes the rights of Nexplan Institute or others
- attempts to gain unauthorized access to accounts or systems
- disrupts or interferes with website or platform operations
- distributes malware or harmful code
- misrepresents your identity or affiliation
- copies, scrapes or systematically extracts protected content
- enables unauthorized sharing of paid materials
We may suspend or terminate access where we reasonably believe these Terms have been materially violated.
9. Educational and Professional Disclaimer
Nexplan Institute courses, digital products and educational materials are provided for informational and educational purposes.
They are not a substitute for individualized legal, medical, mental-health, financial, employment or other regulated professional advice.
Participation in a Nexplan Institute course or program does not create a therapist-client, lawyer-client, physician-patient or similar regulated professional relationship unless a separate written agreement expressly provides otherwise.
You remain responsible for evaluating information and making decisions appropriate to your own circumstances.
10. Results and Outcomes
Nexplan Institute provides frameworks, education and tools designed to support learning and development. However, individual results will vary.
We do not guarantee any particular personal, professional, career, organizational, financial or other outcome from participating in a course, program or service.
Your results depend on factors including your circumstances, decisions, effort, implementation and other factors outside Nexplan Institute’s control.
11. Refunds and Cancellations
All purchases of Nexplan Institute digital products and courses, including the Transition Intelligence Mini-Course, are final and non-refundable, except where a refund or cancellation right is required by applicable law.
Because access to digital course materials and downloadable resources is provided following purchase, Nexplan Institute does not offer refunds for change of mind, non-use, partial completion, or failure to complete a course.
If you believe you have been charged in error or experience a technical issue that materially prevents you from accessing a product you purchased, please contact Nexplan Institute so we can investigate and work to resolve the issue.
Nothing in this policy limits any rights or remedies that cannot legally be excluded under applicable consumer-protection law.
12. Events, Programs and Scheduling
For live events, workshops, programs or scheduled sessions, Nexplan Institute may occasionally need to change dates, times, presenters, delivery methods or other logistical details.
Where a material change occurs, we will make reasonable efforts to notify registered participants.
Additional cancellation or rescheduling terms may apply to particular programs or services and will be communicated at registration or purchase.
13. Third-Party Platforms and Services
Nexplan Institute may use third-party platforms and service providers to deliver its website, courses, payments, communications, analytics and other functions.
This may include platforms such as Kajabi and third-party payment processors.
Your use of third-party services may also be subject to their own terms and privacy policies.
Nexplan Institute is not responsible for interruptions or failures caused solely by third-party systems outside our reasonable control, although we will make reasonable efforts to restore or provide access where appropriate.
14. Links to Third-Party Websites
Our website, courses or communications may contain links to external websites or resources.
These links are provided for convenience or informational purposes. Nexplan Institute does not control and is not responsible for the content, availability, security or practices of third-party websites.
A link does not necessarily constitute endorsement of the third party or its services.
15. Availability and Changes to Services
We may modify, update, suspend or discontinue portions of our website, courses or services when reasonably necessary for operational, technical, legal or business reasons.
We will make reasonable efforts to avoid materially disadvantaging customers who have already purchased access to a product.
Nothing in these Terms requires Nexplan Institute to maintain a particular technology platform indefinitely.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Nexplan Institute and its directors, officers, employees, contractors and representatives will not be liable for indirect, incidental, consequential, special or punitive damages arising from or relating to your use of our website, products or services.
Where liability cannot legally be excluded, our liability will be limited to the extent permitted by applicable law.
Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded or limited.
17. Indemnification
To the extent permitted by law, you agree to be responsible for losses, claims or expenses resulting from your unlawful use of Nexplan Institute services, your material breach of these Terms, or your infringement of the rights of another person.
This section does not apply to the extent prohibited by applicable consumer-protection law.
18. Termination or Suspension of Access
We may suspend or terminate access to Nexplan Institute products or services where there has been:
- a material breach of these Terms
- fraudulent or unauthorized activity
- unlawful use of our services
- unauthorized distribution of protected materials
- conduct that poses a material security or operational risk
Where reasonably appropriate, we may provide notice or an opportunity to address the issue before terminating access.
19. Privacy
Your use of Nexplan Institute services is also subject to our Privacy Policy.
The Privacy Policy explains how we collect, use, disclose and protect personal information.
20. Governing Law
These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Any dispute relating to these Terms will be subject to the jurisdiction of the courts located in Alberta, Canada, except where applicable law provides otherwise.
21. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
22. No Waiver
If Nexplan Institute does not immediately enforce a provision of these Terms, that does not waive our right to enforce that provision later.

We may update these Terms periodically to reflect changes in our services, business practices or legal requirements.
The “Last updated” date at the top of this page will indicate when the Terms were most recently revised.
Where changes materially affect an existing customer’s rights, we will take reasonable steps to communicate those changes where required.
